METRO TRANS LOGISTICS LLC – TERMS & CONDITIONS

Metro Trans Logistics LLC, including its parent and subsidiary entities (hereinafter “Company”), provides expedited trucking. Our platform enables Customers to compare rates, services, liability terms, transit times, and arrange automated transportation.

These Terms & Conditions (“Terms”) apply to all Customers—third-party agents, or any party acting on behalf of a shipment—using Company services. By scheduling shipments or acting on a Customer’s behalf, the individual/entity represents they are authorized to bind the Customer to these Terms. No agent or employee may alter these Terms except in a signed agreement with the Company.

The Company is licensed with the U.S. Department of Transportation, FMCSA, and other required agencies.

These Terms supersede all prior agreements or representations. In the event of conflict, a Customer’s separately executed agreement will govern only with respect to conflicting provisions. Carrier General Rules Tariffs apply to all shipments and take precedence over these Terms when in effect.

1. 1. Bills of Lading All bills of lading (BOL) are non-negotiable and deemed prepared by the Customer or on Customer’s behalf. Unauthorized alteration or use of documents voids Company obligations and quoted rates.
   
   If documentation is incomplete or incorrect, the Company may, at Customer’s expense, correct or provide substitute documents as permitted by law, and such documents will govern carriage terms.
   
   Customers must disclose any hazardous materials at time of tender, since Metro Trans is not completing all hazardous shipments.
   
   Customer indemnifies and holds Company harmless for losses resulting from Customer’s failure to comply.
2. 2. Payment Terms Late balances incur interest at 10% per annum (or legal maximum) and a 33% late payment penalty if collections or legal action is required, plus attorney and collection fees.
   
   Overpayments bear no interest. Shippers, Consignors, Consignees, Brokers are jointly and severally liable. Company retains warehouse lien rights for unpaid balances.
   
   Quotes may be adjusted post-quote if based on incorrect or incomplete information. Charges will be automatically drawn if using credit/electronic payment.
   
   Disputes must be made in writing within 30 business days of invoice date. Undisputed amounts are due regardless of pending claims.
3. 3. Claims & Liability Carrier liability governed by Carmack Amendment (49 U.S.C. 14706). Company acts solely as a carrier; its liability for negligence is limited to a refund of the freight charge for the affected shipment.
   
   Applicable carrier tariffs apply. If an exception value is set by the carrier, that limit overrides tariff limits. Customer is responsible for securing adequate liability coverage.
   
   Damage claims must be filed within 30 days (visible damage) or 3 days (concealed damage) of delivery. Legal actions must be filed within one year of claim denial. Freight charges remain payable during claim review.
   
   Company holds a lien on claim recoveries to offset unpaid freight charges.
   
   Maximum liability: $100,000 per truckload.
4. 4. Rates Additional services (e.g. lift gate, reclassifications, inside delivery) incur additional fees.
   
   Truckload rates assume dock-to-dock service with agreed pricing.
   
   All accessorial fees are additional.
5. 5. Guaranteed Services Shipments' guaranteed schedules exclude holidays, and force majeure events (acts of God, carrier delays, customs issues, public authority actions).
   
   Claims for late delivery must be submitted within 2 business days. Approved refunds will be credited per carrier guarantee only.
   
   The Company is not liable for failed guaranteed service unless negligence is proven; maximum remedy is refund of freight charges.
6. 6. Governing Law & Forum All disputes under these Terms, arising from shipments or website use, shall be heard in Columbus OH, and governed by Ohio law. Both parties consent to jurisdiction in these courts.
7. 7. Miscellaneous Unless otherwise agreed in writing, Customer grants Company permission to use its name and branding in promotional materials.
